End User License Agreement (EULA) for mobex.app

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE USING THE MOBEX.APP SOFTWARE (“SOFTWARE”).

This End User License Agreement (EULA) is a legal agreement between you (“End User,” “You,” or “Your”) and Mobex Technologies (“Licensor,” “We,” “Us,” or “Our”) regarding your use of the software provided by Mobex Technologies, which includes Mobex.app and any updates or modifications to the software (collectively referred to as the “Software”).

By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

1. License Grant

Licensor grants you a non-exclusive, non-transferable, limited license to install and use the Software on a single device for personal or business use, as permitted by the terms of this Agreement. This license does not permit you to distribute, sublicense, lease, or rent the Software to any third party.

2. License Restrictions

You agree not to:

• Copy, modify, adapt, translate, or create derivative works of the Software.

• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software.

• Distribute, sublicense, lease, or rent the Software to third parties.

• Use the Software in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this Agreement.

3. Ownership

The Software is licensed, not sold, to you under this Agreement. Mobex Technologies and its licensors retain all rights, title, and interest in and to the Software, including any updates, enhancements, and modifications. You acknowledge that the Software is protected by copyright laws and other intellectual property laws.

4. Updates and Maintenance

Licensor may, from time to time, provide updates, enhancements, or bug fixes for the Software. You may be required to download and install these updates to continue using the Software. Any such updates will be governed by the terms of this Agreement, unless explicitly stated otherwise.

5. Privacy and Data Collection

Your use of the Software may involve the collection of certain data, including personal information. By agreeing to this Agreement, you acknowledge that Mobex Technologies may collect, use, and share this data in accordance with our Privacy Policy, which is incorporated by reference into this Agreement.

6. Termination

This Agreement is effective until terminated. You may terminate this Agreement at any time by uninstalling the Software. Licensor may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and uninstall it from your device.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR FREE OF INTERRUPTIONS.

8. Limitation of Liability

IN NO EVENT WILL LICENSOR OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OR USE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Mobex Technologies, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of this Agreement, or your violation of any third-party rights.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Mobex Technologies is incorporated, without regard to its conflict of law principles. Any legal action or proceeding under this Agreement will be brought in the competent courts of that jurisdiction.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the use of the Software and supersedes all prior agreements or understandings, whether written or oral, relating to such use.

12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.

BY INSTALLING, DOWNLOADING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
